This page explains the terms and conditions, which contain important information about your legal rights. By using Brokealty and its affiliates, you agree to these conditions. Notes are not part of the official terms and have no legal effect; they are intended only to help you understand the text. 

By creating a Brokealty account or using any of Brokealty's services, you agree to the following terms and conditions.

As used in these Terms of Service, “we,” “us,” and “Brokealty” refer to the contracting party of Brokealty LLC.

 The services offered by Brokealty under the Terms of Service include various products and services to help promote real estate properties to real estate agents, agencies, and developers. All services offered by Brokealty are referred to in these Terms of Service as the "Services." Any new features or tools added to the current Services will also be subject to the Terms of Service. You can review the current version of the Terms of Service at any time at: https://brokealty.com/terms-conditions. Brokealty reserves the right to update and modify the Terms of Service by posting updates and changes on the Brokealty website. You are advised to review the Terms of Service periodically to stay informed of any updates or changes that may affect you. If you do not agree to such amendments, you must stop using the Brokealty Services.

You must read, agree to, and accept all of the terms and conditions contained or expressly referenced in these Terms of Service, including the Brokealty Terms of Use (https://brokealty.com/terms-conditions) and Brokealty Privacy Policies, before creating a Brokealty Account or using any Brokealty Services.

Please note that notes in everyday language are provided for ease of reference only and will appear in bold below each section, but are not legally binding. Please read the Terms of Service, including any documents referenced in them, to get a general idea of the legal requirements you must comply with. By using Brokealty or any Brokealty service, you agree to these terms. Please check back occasionally for updates.

Acceptance of the Terms

Thank you for using Brokealty. These Terms of Service ("Terms") represent a legal agreement between you and Brokealty (as defined below) and govern your use of, and access to, the Brokealty website building service, including web hosting services, web pages, communication tools, mobile applications, e-commerce tools, and other services (collectively, "the Services") available through the website and associated domains of http://brokealty.com (the "Site"), which is subject to these Terms of Service (the "Terms"). By using the Service in any way, you agree to the Terms, our privacy notice, and any other legal notices posted on our Site. If you use our Service for corporate or organizational purposes, you are agreeing to the Terms on behalf of that company or organization. These Terms also apply to your use of the trial version of the Service. If you do not agree to these Terms, do not use the Brokealty Service.

Service Description

Our Web Service allows registered users (individually, the "Account Holder") to create and update a website. Once registered, the Account Holder receives exclusive access to our SAAS platform. Any features added to the Service, including the release of new Brokealty tools and resources, are subject to the Terms of Service. To use the Services, you must have internet access, either directly or through devices capable of accessing web content, and you must pay applicable internet access fees. In addition, you must provide all necessary equipment to secure your internet connection, including a computer with web access. The Services may include notices from us, such as service announcements, administrative messages, and the Brokealty Newsletter. These notices are considered part of the Brokealty membership. You may not access the Services through any platform other than the one provided by us.

Account Terms

To access and use the Services, you must register for a Brokealty account ("Account") by providing your full legal name, current address, telephone number, a valid email address, and any other information as required. Brokealty may reject your Account application or terminate an existing Account for any reason, at our sole discretion.

You must be over:

 (i) 18 years of age to open a User Account. 

You confirm that you receive any services provided by Brokealty for the purpose of conducting a business activity and not for personal purposes.

You agree that Brokealty will use the email address you provided during Account registration, or which you have updated from time to time, as the primary method of communication between you and Brokealty. You are responsible for keeping your password secure. Brokealty cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your Account and password.

You are responsible for all activity and content, such as photos, images, videos, graphics, written content, audio files, code, information or data uploaded, collected, generated, stored, displayed, distributed, transmitted or exhibited on or in connection with your Account ("Materials").

A breach or violation of any term in the Terms of Service, as determined in Brokealty's sole discretion, may result in the immediate termination of your Services. 

If the information you provide is not true, accurate, current, or complete, or Brokealty has reasonable grounds to suspect that such information is not true, accurate, current, or complete, we may suspend or terminate your account and refuse any and all current or future use of the Service.

Account Activation

Owner of the real estate platform

The person who subscribes to the Service by opening an Account will be the contracting party (hereinafter "Real Estate Platform Owner") for the purposes of our Terms of Service and will be the person authorized to use any corresponding Account that we may provide to the Real Estate Platform Owner in connection with the Service.

If you are subscribing to the Services on behalf of your employer, your employer will be the Account Owner. If you are subscribing to the Services on behalf of your employer, you must use the email address issued by your employer and represent and warrant that you have the authority to bind your employer to our Terms of Service. 3. Your Brokealty account can only be associated with one Account Owner. An Account Owner may have multiple Brokealty accounts. "Account" means exclusive access to our online SAAS or the retail locations associated with the Brokealty platform.

Employee accounts

You may create one or more employee accounts (hereinafter "Employee Accounts") that allow other people to access the Account. With Employee Accounts, the Account Owner can set permissions and allow other people to work on their Account and determine the level of access Employee Accounts have to specific business information (for example, you can limit Employee Accounts' access to sales information on the Reports page or prevent Employee Accounts from changing general account settings).

The Account Owner is responsible for any acts, omissions, or failures resulting from the use of Employee Accounts in the performance of the obligations set forth in these Terms of Service as if they were the acts, omissions, or failures of the Account Owner.

The Account Owner and Employee Account users are referred to as a “Brokealty User.”

Domain names

When you purchase a domain name through Brokealty, your domain registration will be automatically renewed annually by default, as long as your Brokealty Account remains active. You acknowledge that it is your sole responsibility to disable the automatic renewal feature if you so choose.

Website Security

You are responsible for maintaining the security of your account and website for all activities or actions taken under or in connection with the website. You agree to immediately notify us in writing of any unauthorized use of your account or any other breach of security. We are not liable for any damages or losses resulting from your failure to comply with this security obligation. You acknowledge and agree that neither we nor any of our affiliates, subsidiaries, officers, directors, or employees are liable under any circumstances or in any way for any acts or omissions of you or any third party, including any damages of any kind incurred as a result of such acts or omissions.

General conditions

You must read, agree to, and accept all of the terms and conditions contained in these Terms of Service, including the Privacy Policy, before you can become a Brokealty User.

Technical support in connection with the Services is provided only to Brokealty Users and is available via email, phone calls, WhatsApp, Zoom, Skype, or in person in the case of contracting as a real estate agency.

The Terms of Service will be governed by and construed in accordance with the laws of the country in which you reside at the time of registration, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms of Service and is expressly excluded from this document.

You acknowledge and agree that Brokealty may amend these Terms of Service at any time by posting the corresponding amended and restated Terms of Service on the Brokealty website, available at https://brokealty.com/terms-conditions, and that such amendments to the Terms of Service will be effective as of the date of posting. Your continued use of the Services following the posting of the amended Terms of Service on the Brokealty website constitutes your agreement to and acceptance of the amended Terms of Service. If you do not agree to any of the changes made to the Terms of Service, please do not continue to use the Service.

You may not use Brokealty Services for any illegal or unauthorized purpose, nor may you, in your use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws) or any laws applicable to you in your client's jurisdiction. You will comply with all applicable laws, rules, and regulations in your use of the Service and in fulfilling your obligations under the Terms of Service.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Services, or access to the Services without Brokealty's express written permission.

You may not purchase search engine keywords or other pay-per-click keywords (such as Google AdWords) or domain names that use Brokealty or Brokealty trademarks and/or variations thereof or misspellings.

You understand that your Materials (excluding credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

All terms and provisions of these Terms of Service shall be binding upon and inure to the benefit of the parties to these Terms and their respective legatees, successors, permitted assigns, and legal representatives. Brokealty may assign these Terms of Service without your prior notice or consent. You shall not have the right to assign or transfer these Terms of Service, or any of your rights or obligations hereunder, to any third party without Brokealty's prior written consent, which Brokealty may grant or withhold in its sole discretion.

If any provision, or part thereof, of these Terms of Service is, for any reason, held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision (or the unaffected part of the provision) of these Terms of Service, and these Terms of Service shall be construed as if such invalid, illegal, or unenforceable provision, or part of the provision, had never been included in these Terms of Service.

Brokealty contracting party

The parties irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Province of Santo Domingo with respect to any dispute or claim arising out of or related to the Terms of Service. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service and is expressly excluded herein.

You irrevocably and unconditionally agree to submit to the jurisdiction of the courts of the United States, which shall have jurisdiction to resolve any dispute arising out of or in connection with the validity, effect, interpretation, or performance of these Terms of Service, and you irrevocably and unconditionally waive any right to object to any claim, suit, action, or proceeding brought by Brokealty in any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service and is expressly excluded herein.

Brokealty Rights

We reserve the right to modify or discontinue the Services for any reason, without notice, at any time. Not all Services and features are available in all jurisdictions, and we are not obligated to make any Services or features available in any jurisdiction.

We reserve the right to refuse service to anyone for any reason at any time.

We may, but have no obligation to, remove Materials and suspend or terminate Accounts if we determine, in our sole discretion, that goods or services offered through a real estate platform, or Materials uploaded or posted to a real estate platform, violate our Privacy Policies or these Terms of Service.

Verbal or written abuse of any kind (including threats of abuse or retribution) of any Brokealty customer, employee, member, or authority will result in immediate account closure.

Brokealty does not pre-screen Materials, and we are free to reject or remove any Materials from the Service, including its real estate platform.

We reserve the right to provide our services to your competitors and do not promise exclusivity in any particular market segment. Furthermore, you acknowledge and agree that Brokealty employees and contractors may also be Brokealty customers or merchants and may compete with you, although they may not use your Confidential Information (as defined in Section 6) to do so.

In the event of a claim related to account ownership, we reserve the right to request documentation to determine or confirm ownership. Documentation may include, but is not limited to, a scanned copy of your business license, a government-issued photo ID, the last four digits of your credit card on file, your employee status, etc.

Brokealty reserves the right to determine, in our sole discretion, the rightful ownership of the Account and transfer an Account to the rightful Owner of the real estate platform. If we cannot reasonably determine the rightful Owner of the real estate platform, without prejudice to our other rights and remedies, Brokealty reserves the right to temporarily disable an Account until a resolution has been reached between the disputing parties.

Confidentiality

"Confidential Information" shall include, but is not limited to, all information relating to a party's business that is not publicly known, including specific business information, technical processes and formulas, software, customer lists, prospect lists, names, addresses and other information about customers and prospective customers, product designs, sales, costs (including applicable processing fees), price lists and other unpublished financial information, business plans and marketing data, and any other confidential information and proprietary information, whether marked confidential or proprietary. Brokealty's Confidential Information includes all information that you receive in connection with us or the Services that is not generally known to the public, including information related to our security program and practices.

Each party agrees to use the Confidential Information of the other party only as necessary to perform its obligations under these Terms of Service and in accordance with any other obligations provided for in these Terms of Service, including this Section 6. Each party agrees that it will take all reasonable measures, at least substantially equivalent to the measures it takes to protect its own proprietary information, to prevent the copying, disclosure or use of such Confidential Information, other than (i) by or through its employees, agents and subcontractors who must have access to such Confidential Information in order to perform such party's obligations hereunder, and who are subject to confidentiality obligations to such party that are at least as strict as those contained herein; or (ii) as required by any law, regulation, or order of any court of appropriate jurisdiction over the parties and the subject matter of these Terms of Service, provided that, if legally permitted, the receiving party will notify the disclosing party in writing and use commercially reasonable efforts to ensure that such disclosure is treated as confidential. Confidential Information shall not include any information that the receiving party can prove: (A) was already publicly known, or was already known or possessed by the receiving party, at the time of disclosure of such information; (B) information that is independently developed by the receiving party without use of or reference to the other party's Confidential Information, and that does not breach any provision of these Terms of Service; or (C) was promptly obtained by the receiving party from a source other than the disclosing party without breach of any provision of these Terms of Service.

Limitation of liability

You expressly understand and agree that, to the extent permitted by applicable law, Brokealty shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the Service.

To the extent permitted by applicable law, in no event shall Brokealty or our suppliers be liable for any lost profits or any special, incidental, or consequential damages arising from or in any way related to our site, our Services, or these Terms of Service (even if caused by negligence). You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, Brokealty Partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents incorporated by reference, or your violation of any law or the rights of a third party.

Your use of the Services is at your own risk. The Services are provided "as is" and "as available" without any warranties or conditions, express, implied, or statutory.

Brokealty does not guarantee that the Services will be uninterrupted, timely, secure, or error-free.

Brokealty does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable.

Brokealty does not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations, or that any errors in the Services will be corrected.

Waiver and Entire Agreement

Brokealty's failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service, including any documents they incorporate by reference, constitute the entire agreement between you and Brokealty and govern your use of the Services and your Account, superseding any prior agreements between you and Brokealty (including, but not limited to, any prior versions of the Terms of Service).

Intellectual property and user-generated content

We do not claim any intellectual property rights over the Materials you provide to the Brokealty Service. All Materials you upload belong to you. You can delete your Brokealty real estate platform at any time by deleting your Account.

By uploading Materials, you agree to: (a) allow other Internet users to view the Materials you publicly post on your real estate platform; (b) allow Brokealty to store, and in the case of Materials you publicly post, display and use your Materials; and (c) that Brokealty may, at any time, review and remove all Materials submitted to its Service, although Brokealty is not obligated to do so.

You retain ownership of all Materials you upload to the Real Estate Platform; however, by making your Real Estate Platform public, you agree to allow others to view the Materials you publicly post on your Real Estate Platform. You are solely responsible for the Materials' compliance with applicable laws or regulations.

Brokealty will have the non-exclusive right and license to use the names, trademarks, service marks, and logos associated with its real estate platform to promote the Service. You grant us and our affiliated subsidiaries and successors a worldwide, non-exclusive, royalty-free, fully paid, transferable, irrevocable, perpetual, and sublicensable right to use, reproduce, modify, adapt, publish, prepare derivative works from, distribute, publicly perform, and publicly display your Content throughout the world in any media.

Content, rules of conduct and obligations

All information, data, text, software, music, sound, photographs, graphics, videos, messages, goods, products, services, or other materials that you post on a website through the Services (the "Content") are the sole property of the person from whom such Content originated. You are responsible for all Content that you upload, post, transmit, or otherwise make available through the Services. We do not control the Content you post through the Services. Your Content does not include non-personally identifiable buyer/seller transaction data or behavioral data derived from your use of Brokealty's e-commerce platform (collectively, "Data Platform"). Brokealty owns all Data Platform and uses it for its service operations, improvements, and analytics. You are also responsible for backing up your Content.

By using the Services, you may be exposed to content that is offensive, indecent, or rude. Under no circumstances are we liable for any Content you post or for any content posted by third parties, including, but not limited to, any errors or omissions in your Content, or any damages or losses of any kind incurred through the use of any Content posted, transmitted, or otherwise made available via the Services. You acknowledge that we do not screen Content, but we reserve the right (but not the obligation) to refuse, change, or remove any Content available on our Service. We also reserve the right to remove any Content that violates the Terms or is otherwise objectionable to us. You must evaluate, and bear the potential risks, of using any Content. You may not rely on any Content created by us. You acknowledge and agree that we may preserve and disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that Content violates third party rights; or (d) protect our rights, property, or personal safety and those of our users and the public.

The technical processing and transmission of the Services, including the Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of network or device connections.

You may not:

Upload, post, transmit or otherwise enable Content that: is unlawful or harmful, threatening, offensive, abusive, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy (including addresses, email addresses, phone numbers or any contact information without the prior consent of the owner of that information), hate speech, or racist, ethnic or any other type of speech; you do not have the right to transmit under law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information that you have learned or disclosed as part of employment relationships or under nondisclosure agreements); infringe any patent, trademark, trade secret, copyright, right of privacy or publicity, or other proprietary rights of any kind (for example, music, movies, images, e-books, or games that you do not own); is unsolicited commercial email or "spam." This includes unethical advertising and marketing or any other practices in any way related to "spam," such as (i) sending mass email to recipients who have not requested such email or by means of a fake sender, (ii) promoting a website with inappropriate titles, descriptions, or links, or (iii) promoting your website by posting multiple submissions in public forums that are identical; contains any software viruses, worms, Trojan horses or any other computer code, files or programs that interrupt, destroy or limit the functionality of the Services, computer software or computer hardware or telecommunications equipment, or that may affect the ability of Brokealty users to access the Service; attempts to take advantage of a user, such as "make money fast" schemes, "make money surfing", multi-level or pyramid marketing, or other questionable schemes; or is exclusively directed at an adult audience, such as Content that depicts nudity in a sexual context or is exclusively adult-themed or shows genitals; Harm minors in any way; "Harass," "intimidate," or otherwise harass any person; Impersonate any person or entity, including, without limitation, any Brokealty employee, host, guide, or forum leader, or falsely state or otherwise misrepresent your affiliation with a person or entity; Forge headers or manipulate identifiers in order to disguise the origin of any Content transmitted through the Services; Interfere with or disrupt the Services, or servers or networks connected to the Service, or disobey any requirements, legal processes, policies or regulations of networks connected to the Service; voluntarily or involuntarily, fail to comply with any provision of local law, or applicable international regulations and laws. 

Promote or provide instructional information about illegal activities, promote physical violence or harm toward a group or individual, or promote any act of cruelty against animals. This includes, but is not limited to, providing instructions on how to prepare bombs, grenades, or other incendiary weapons or devices;

Use the Services to redirect to another website or fraudulently manipulate Google or other search engine rankings, or Facebook or any social networking or "like" sites and similar sites.

Requesting passwords or personal identification data from third parties for illegal activities or identity theft.

Exceeding the scope of the Services for which you have registered (e.g., by accessing or using tools that you do not have the right to access, or by deleting, adding to, or modifying other users' comments or content);

 Upload files for the sole purpose of our storage and for external use of the Site created by using the Services;

 Creating a website with custom programming that provides a disruptive user experience. Examples include, but are not limited to, banners with extreme flashing, excessive animated motion, or content that may cause epilepsy in unsuspecting visitors;

 Under no circumstances may you use any open source software subject to the GNU Affero General Public License v.3 or higher;

 Abuse our customer service through email, chat, phone, or our agents; or

 Take any action while using the Services that is detrimental to the Services or Brokealty's reputation, as determined by Brokealty in its sole discretion.

We reserve the right to terminate any account or remove any user who has violated any of the prohibitions set forth above.

Payments

You must maintain a valid form of payment on file to pay all incurred and recurring Charges. Brokealty will charge the applicable Charges to any valid form of payment you authorize ("Authorized Payment Method"), and Brokealty will continue to charge the authorized payment method for the applicable Charges until the Services are terminated and all outstanding Charges are fully paid. Unless otherwise stated, all Charges and other fees are denominated in U.S. dollars, and all payments will be made in USD.

Subscription fees are payable in advance and will be billed in 30-day intervals (each such date is referred to as a "Billing Date"). Transaction Fees and Additional Fees will be charged from time to time at Brokealty's discretion. You will be charged on each Billing Date for all outstanding Fees not previously collected. Fees will appear on an invoice, which will be sent to the Real Estate Platform Owner via the email address provided. Additionally, an invoice will appear on the Account page of your Real Estate Platform's admin panel. Users have approximately two weeks to raise and resolve any issues related to the billing of Subscription Fees.

If we are unable to process payment for the Fees using an authorized payment method, we will make a second attempt to process payment using any authorized payment method within 3 days. If the second attempt is unsuccessful, we will make a final attempt 3 days after the second attempt. If our final attempt fails, we may suspend and revoke access to your Account and the Services. Your Account will be reactivated upon payment of any outstanding Fees, plus any applicable Fees for your next billing cycle. You may not be able to access your Account or your real estate platform homepage during any suspension period. If outstanding Fees remain unpaid for 60 days after the suspension date, Brokealty reserves the right to terminate your Account.

You are responsible for all applicable Taxes arising from or resulting from your subscription to or purchase of Brokealty products and services. To the extent Brokealty collects these Taxes, they are calculated using the applicable tax rates based on the billing address you provide to us. Such amounts are in addition to the Charges for such products and services and will be billed to your authorized payment method. If you are exempt from paying such Taxes, you must provide us with evidence of your exemption, which in some jurisdictions includes an original certificate that meets applicable legal requirements attesting to tax-exempt status. Tax exemption will only apply from the date we receive evidence that satisfies Brokealty of your exemption. If Brokealty does not collect the Taxes from you, you are responsible for determining whether the Taxes are payable and, if so, remitting the Taxes yourself to the appropriate taxing authorities.

For the avoidance of doubt, all amounts payable by you to Brokealty under these Terms of Service shall be paid without any deductions or withholdings of any kind. Apart from the Taxes collected by Brokealty and remitted on your behalf to the appropriate taxing authorities, any other deductions or withholdings required by law shall be at your expense and shall be paid separately to the appropriate taxing authority. Brokealty shall be entitled to charge the full amount of the Fees stipulated in these Terms of Service to your authorized payment method, ignoring any deductions or withholdings that may be required.

Brokealty offers a 30-day satisfaction guarantee for a full or partial refund of the amount charged. 

Sales through Brokealty

WILL NOT offer or sell Commercial Products that:

are illegal or potentially illegal, including counterfeit, stolen, historically restricted, or fraudulent products. Commercial Products sold through the Services must comply with applicable law, including Commercial Products sold to persons outside the United States; infringe or attempt to infringe a third party's intellectual property or privacy rights or may be libelous, slanderous, or defamatory in any way; we determine, in our sole discretion, to be inappropriate, offensive, pornographic, sexually explicit, or violent; or are produced as, or primarily intended to be used as, weapons, including firearms, restricted devices, or ammunition. We reserve the right to determine, in our sole discretion, whether Commercial Products are "weapons" for purposes of the Terms;

Use images or names of third parties (including prominent personalities or celebrities) to offer or sell commercial Products without prior permission from the third party.

Cancellation and Termination

You may cancel your Account and terminate the Terms of Service at any time by emailing support@brokealty.com and following the specific instructions provided in Brokealty's response.

Upon termination of the Services by either party for any reason:

Brokealty will stop providing the Services and you will no longer be able to access your Account;

Unless otherwise provided in the Terms of Service, you will not be entitled to any refund of any Fees, pro rata or otherwise; any outstanding balance owed to Brokealty for use of the Services up to the effective date of such termination will become immediately due and payable in full; and your real estate platform website will be disconnected.

If you purchased a domain name through Brokealty, upon cancellation, your domain will no longer be automatically renewed. After termination, it will be your sole responsibility to handle all matters related to your domain with the domain provider.

If you still have any outstanding fees owed by the Service termination date, you will receive a final invoice by email. Once the invoice has been paid in full, you will not be charged again.

We reserve the right to modify or terminate the Brokealty Service, the Terms of Service, and/or your Account for any reason, without prior notice, at any time. Termination of the Terms of Service will be without prejudice to any other rights or obligations arising prior to the date of termination.

Fraud: Without limiting any other remedies, Brokealty may suspend or terminate your Account if we suspect (by conviction, settlement, insurance or escrow investigation or otherwise) that you have engaged in fraudulent activities related to your use of the Services.

We are not responsible for any information or content that is removed.

Modifications to the Service and Prices

Prices for use of the Services are subject to change upon 30 days' prior notice from Brokealty. Such notice may be provided at any time by posting the changes on the Brokealty website (brokealty.com) or in the administration menu of your Brokealty real estate platform via an announcement.

Brokealty reserves the right at any time, and from time to time, to modify or discontinue the Services (or any part thereof) with or without notice.

Brokealty will not be liable to you or any third party for any modification, price change, suspension or discontinuance of the Service.

Beta services

Brokealty may occasionally, in its sole discretion, invite you to use, on a trial basis, beta or pre-release features that are being developed and not yet available to all Merchants ("Beta Services"). The Beta Services may be subject to additional terms and conditions that Brokealty will provide to you prior to your use of the Beta Services. Such Beta Services and all discussions and materials related thereto will be considered Confidential Information of Brokealty and will be subject to the confidentiality provisions of this Agreement. You agree, without limiting the generality of the foregoing, that you will not make any public statements or otherwise disclose your participation in the Beta Services without Brokealty's prior written consent. Brokealty makes no representations or warranties that the Beta Services will operate. Brokealty may discontinue the Beta Services at any time in its sole discretion. Brokealty will not be liable for any damages arising from or related to the Beta Services. The Beta Services may not operate in the same manner as the final version. Brokealty may change or not release a final or commercial version of a beta Service at our sole discretion.

Comments and Reviews

Brokealty welcomes any ideas and/or suggestions regarding improvements or additions to the Services. Under no circumstances will the disclosure of any ideas, suggestions, or related materials, or any reviews of the Services, the Third-Party Services, or any Third-Party Provider (collectively, "Feedback") to Brokealty be subject to any obligation of confidentiality or expectation of compensation. By submitting Feedback to Brokealty (whether submitted directly to Brokealty or posted on any forum or page hosted by Brokealty), you waive any and all rights in the Feedback, and Brokealty is free to implement and use the Feedback as it chooses, either as proposed by you or as modified by Brokealty, without obtaining permission or license from you or any third party. Any review of a Third-Party Service or Third-Party Provider you submit to Brokealty must be as accurate as possible to the best of your knowledge, and must not be unlawful, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable. Brokealty reserves the right (but not the obligation) to remove or edit a Review of the Third-Party Service or Third-Party Provider, but does not regularly inspect posted Reviews.
